Terms of Service
Edition 2026-10-09. Effective from 2026-10-09.
These Terms of Service (the "Terms") are a binding agreement between ContentTech LLC, a limited liability company incorporated in Georgia, identification number 445866411, registered address Georgia, Batumi, Zubalashvili street N 39-39a, floor 1, apartment N1 ("Oktava", "we", "us"), and the business that creates an account or purchases a subscription (the "Customer", "you"). You accept the version of these Terms presented to you by taking the explicit acceptance action in the Service on behalf of the Customer.
1. Business use only
1.1. The Service is offered exclusively to businesses: companies, sole proprietors and other persons acting for purposes related to their trade or profession, for playing background music at their venues. It is not offered to consumers.
1.2. You confirm that the person accepting these Terms is authorised to bind the Customer. On our request you will provide documents confirming your business status (registration number, VAT or tax number, or equivalent).
2. Definitions
"Service" – the Oktava software, the Catalogue, the Documents and the Playback Log, as made available to you in your account and described on our website and in the App.
"App" – Oktava software applications and the web player.
"Catalogue" – the music library made available for playback in the App. Preview or demonstration fragments published on our website are not part of the Catalogue.
"Location" – one physical business venue registered in your account.
"Account Country" – the country of a Location as registered in your account.
"CMO" – a collective management or performing-rights organisation that collects royalties or remuneration for the public performance of music or sound recordings (for example GEMA, SACEM, SPRE, PPL PRS, OneMusic, SOCAN, ASCAP, BMI).
"Country Document" – the document for the Account Country, available in your account and updated from time to time, describing the position of the Catalogue under that country's rules, the known mandatory payments, and the recommended conduct if a CMO contacts you.
"Documents" – the Country Document and the other documents generated for your Locations in your account, including the statement of the composition and origin of the Catalogue and the response templates.
"Playback Log" – the record kept by the App of what was played at each Location and when.
3. The Service
3.1. The Service is a subscription to the App for playing the Catalogue as background music at your registered Locations, together with the Documents and the Playback Log.
3.2. The features, limits and plans of the Service (including the unit of subscription, the number of devices or zones, any trial and the countries in which the Service is offered) are those described in the App and on our website at the time of purchase. We may change them for future periods as described in Sections 9 and 15.
3.3. The App plays only the Catalogue. The Playback Log can be exported from your account at any time.
4. Catalogue and permitted use
4.1. The Catalogue available under a subscription is the release identified in the Documents for your Location. The scope of permitted use is limited to that release, the subscription period and the applicable Country Document.
4.2. Every recording in the Catalogue is original and created by Oktava. The Catalogue recordings are not registered in CMO repertoires. This statement applies to the release identified in the Documents for your Location.
4.3. A subscription is not a determination of copyright status in every country. Any licence applies only to rights that ContentTech LLC is entitled to grant. Mandatory rights and charges under applicable law remain unaffected.
5. Local rights and charges
5.1. The Country Document identifies the scope and limitations assessed for your Location and the identified Catalogue release. These Terms do not give a general exemption from CMO fees or other mandatory payments.
5.2. You remain responsible for payments required by applicable law and for rights covering music used outside the Catalogue. If a collecting organisation contacts you, send the request to support@oktava.app and follow Section 8. Do not disregard a legal deadline while waiting for our response.
5.3. Use the Catalogue only as background music at your registered business Locations, subject to these Terms and the applicable Country Document. Other uses require separate permission where applicable.
6. Country Documents
6.1. The Country Document for each of your Locations forms part of these Terms. Where the Country Document describes a mandatory payment, a residual risk, a choice or an additional step, the Country Document prevails over the general statement in Section 5.1.
6.2. The Service is offered only in the countries listed in the App at the time of purchase. We keep Country Documents under review and update them in your account under Section 15.
6.3. The Account Country determines the price, the currency, the Country Document and the Documents for a Location. Registering a Location under a country other than the country where it is situated is a breach of these Terms, and the Documents issued on that basis are invalid.
7. Protection of the Catalogue: prohibited actions
7.1. Access to the Catalogue is limited to playback through the App at your registered Locations. The following restrictions protect the Service and the rights that ContentTech LLC is entitled to enforce. They do not determine copyright status or remove mandatory charges under Section 5. You must not, and must not permit anyone else to:
(a) copy, record, rip, download (other than the App's own offline cache), extract or capture any track;
(b) publish, upload, share, stream or otherwise make any track available outside your Location, including on websites, social media, video platforms or messengers;
(c) use tracks in videos, advertising, podcasts, on-hold telephony or any other production;
(d) use the Catalogue, any track or any data derived from them for text and data mining, or for the development, training, fine-tuning or operation of machine-learning or artificial-intelligence systems, for any purpose; we expressly reserve our rights against text and data mining under Article 4(3) of Directive (EU) 2019/790 and any equivalent provision;
(e) resell, sublicense, rent or otherwise provide the Service to third parties;
(f) circumvent technical protection measures or reverse engineer the App, except to the extent expressly permitted by law;
(g) share account credentials outside your staff, or use the Service after termination.
7.2. A material breach of Section 7.1(a)–(d) may cause harm to the Service or to rights holders. We may suspend the affected access to prevent further harm and terminate under Section 10. You remain responsible for proven loss caused by your breach, subject to Section 12 and applicable law.
7.3. Nothing in this Section restricts an act that applicable law expressly permits and does not allow us to prohibit by contract.
8. If a CMO contacts you
8.1. Letters and visits from CMOs are a normal part of the background-music market. Your Documents exist for exactly that: the statement of the composition and origin of the Catalogue, the Country Document, the response template and the Playback Log.
8.2. Recommended conduct, detailed in the Country Document: do not sign or pay anything on the spot; do not ignore letters; reply in writing, in your own name, using our template and Documents.
8.3. What we do: we provide and keep updated the Documents, the templates and the instructions, and we may, at our discretion, help you with the wording of a reply or provide additional documents on request.
8.4. What we do not do: we do not provide legal services or legal representation, we do not correspond with CMOs on your behalf, and we do not conduct, fund or reimburse disputes, proceedings or settlements. Any dispute with a CMO, and its cost, is yours. This allocation of responsibility is reflected in the price of the Service.
9. Subscription, billing and refunds
9.1. The price, currency, applicable tax, subscription unit and billing period are shown before you confirm the order. Monthly and annual subscriptions renew automatically unless cancelled before renewal.
9.2. Orders paid through Paddle are sold and processed by the Paddle entity identified at checkout. Paddle is the Merchant of Record for these orders and handles payment, tax, invoices, payment-related customer service and refunds. ContentTech LLC provides the Service. You may contact us about the Service or a refund at support@oktava.app.
9.3. Cancelling renewal takes effect at the end of the paid period. All Locations share the paid subscription period. Excluding a Location from the next period keeps it included until the end of the current paid subscription period. For refund requests, see Section 9.4.
9.4. Refund Policy. This policy applies to payments for Oktava subscriptions.
Request a refund within 14 days
Email support@oktava.app within 14 calendar days of the payment date, including a renewal payment. Include your account email, payment reference and a brief description of your request. You can also contact Paddle buyer support.
When a refund is available
Refunds are available where required by law or approved by Paddle under the buyer terms accepted at checkout. Paddle may approve a full or partial refund or decline a request. Oktava does not impose additional eligibility conditions or charge a refund fee.
If you see a duplicate charge, cannot access the paid Service or find that it does not work as described, contact us. We will help investigate the issue and coordinate your refund request with Paddle.
How the money is returned
Paddle processes approved refunds to your original payment method where possible, within 14 days of approval. Statutory withdrawal refunds follow the applicable legal deadline. The date the money appears in your account also depends on your bank or payment provider.
Cancellation and access
Cancelling renewal stops future subscription payments. Your Locations remain covered until the end of the paid period. To request money back, contact us as described above.
After a full refund, access covered by that payment ends. After a partial refund, we explain which access changes; access paid for by unaffected purchases continues.
If we stop serving your country
If we stop offering the Service in a Location's country, we refund the unused prepaid amount for that Location from the date service stops to the end of the paid period. The amount is based on the price actually paid after discounts. Other Locations remain covered. Section 10.3(d) of the Terms of Service explains this commitment.
Your rights
The 14-day request window does not limit any longer period or other refund rights provided by applicable law or the terms governing your purchase.
9.5. If renewal is unsuccessful, access ends when the already paid period expires; no additional grace period is provided. A failed charge for a separate adjustment does not remove access already paid for. A refund request or payment dispute does not by itself automatically terminate access, although access may be suspended where required by law, Paddle's applicable terms or a documented fraud or security concern. When a full refund is completed, access covered by the refunded purchase ends. For a partial refund, we apply and communicate the corresponding adjustment in accordance with Paddle's decision and applicable terms; access paid for by unaffected purchases remains unchanged. These Terms do not override Paddle's independent rights or obligations.
9.6. We notify you of changes to prices before they apply to a future billing period. You may cancel renewal before that period starts.
10. Term, suspension and termination
10.1. These Terms apply for as long as you have an account.
10.2. You may terminate at any time by cancelling all subscriptions and closing the account.
10.3. We may suspend or terminate the Service: (a) immediately, for a material breach of Section 7 or Section 6.3 where urgent action is needed to prevent harm or the breach cannot reasonably be cured; otherwise under Section 10.3(b); (b) for any other material breach not cured within 14 days of our notice; (c) for non-payment, under Section 9.5; (d) for a Location, if the Service ceases to be offered in its Account Country. In the case of Section 10.3(d), we will refund the unused prepaid amount attributable to the affected Location from the date service stops to the end of the paid period. The amount is based on the price actually paid for that Location after applicable discounts, with any tax adjustment handled by Paddle for orders it sold. For those orders, we will instruct Paddle to process the refund. We do not deduct an Oktava processing fee from this refund. The refund does not cancel access for unaffected Locations.
10.4. Upon termination for a Location, the licence ends and playback must stop. Documents do not authorise playback after termination. Termination does not retrospectively invalidate their description of a release or paid period to which they expressly relate. You may retain copies for lawful record-keeping and dispute handling. This does not require us to maintain access to a closed account or to retain personal data beyond an applicable purpose or retention period. Termination does not affect rights or obligations already accrued, including any refund due under Section 9 or Section 10.3(d). Sections 7, 11, 12, 13, 16 and 17 survive termination.
11. Availability: "as is"
11.1. We aim for continuous availability, and the App keeps an offline cache for network interruptions, but we do not warrant that the Service will be uninterrupted or error-free. Subject to our express obligations, the Service is provided "as is", and all other warranties are excluded to the extent permitted by law.
11.2. We may update the App and the Catalogue (add, replace or remove tracks) at any time, subject to the scope of Section 4.
12. Liability
12.1. Nothing in these Terms excludes or limits liability for fraud or intentional misconduct, or any other liability that cannot lawfully be excluded or limited. Sections 12.2–12.7 are subject to this rule.
12.2. Neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or data.
12.3. Our total aggregate liability under these Terms is limited to the amounts you paid for the Service in the 12 months preceding the event giving rise to the claim. This cap applies to all claims together, including claims for breach of Section 4.
12.4. The cap in Section 12.3 limits only ContentTech LLC's liability. It does not limit the Customer's payment obligations or liability for breach of Section 7. The exclusion in Section 12.2 does not prevent recovery of proven, reasonably foreseeable loss caused by an intentional or reckless material breach of Section 7, to the extent recoverable under applicable law. No party may recover the same loss more than once.
12.5. We are not liable for: mandatory payments under Section 5.2; CMO fees or claims arising from music other than the Catalogue or from a breach of the restrictions in Section 5; the outcome of any dispute you conduct; or acts of the MoR under its own terms. These exclusions do not excuse our own breach of these Terms or reduce any remedy that cannot lawfully be excluded.
12.6. These Terms do not require ContentTech LLC to defend the Customer against third-party claims or reimburse third-party settlements under a contractual indemnity. This does not remove our express obligations or liability under Sections 4 and 12, or any mandatory remedy.
12.7. The exclusions and liability cap in this Section do not reduce any refund expressly due under Section 9 or Section 10.3(d). Such refunds are repayments of prepaid charges, not damages subject to that cap.
13. Intellectual property
13.1. ContentTech LLC retains its rights in the App and its materials. Subscription access does not transfer ownership to you. Use of recordings is limited to Section 4 and does not grant rights held by third parties.
13.2. Restrictions in Section 7 apply to use of the Service. They do not create copyright or related rights where applicable law does not recognise them.
14. Data protection
14.1. We process account and usage data as described in our Privacy Policy. The Service is addressed to businesses.
15. Changes to these Terms
15.1. We identify each version of these Terms and the Country Documents by its version and effective date. We will give at least 30 days' notice of a material contractual change. Changes that increase your obligations or materially reduce the paid Service apply to a future billing period after your explicit acceptance, unless Section 15.2 applies. If you do not accept, you may cancel renewal and continue the already paid period under the accepted terms, to the extent that we can lawfully provide the Service. Continued use alone does not constitute acceptance of a new contractual version.
15.2. We may make changes sooner where necessary to comply with law, a regulator or a court order, with notice as soon as reasonably possible. Country Documents may also be corrected to explain a change in law or a factual risk; such a correction does not itself expand your contractual obligations or retrospectively change the scope of an accepted release. If we must discontinue service to an Account Country, Section 10.3(d) applies. Your mandatory rights remain unaffected.
16. General
16.1. These Terms, the Country Document(s), the Documents for your Locations and your order at checkout form the entire agreement and replace prior discussions. Marketing materials describe the Service; if wording differs, these Terms and the Country Document prevail. This order of precedence does not exclude responsibility for a misleading statement or any other liability that cannot be excluded by law.
16.2. We may assign these Terms to an affiliate or to a successor in business; you may not assign them without our consent.
16.3. If any provision is found unenforceable, the remainder stays in force.
16.4. A failure to enforce a provision is not a waiver of it.
16.5. Neither party is liable for failure to perform caused by events beyond its reasonable control. This does not remove refund obligations under Section 10.3(d) or payment obligations already accrued.
16.6. Notices: to you, to your account email or in the App; to us, to support@oktava.app.
16.7. These Terms are made in English. Translations are provided for convenience; in case of any difference, the English version prevails.
16.8. The parties agree to conclude and record this agreement electronically. An explicit acceptance action by an authorised representative, linked to the presented version of these Terms, constitutes that representative's electronic signature on behalf of the Customer to the extent permitted by applicable law.
17. Governing law and disputes
17.1. These Terms are governed by the laws of Georgia.
17.2. The parties will first attempt to settle any dispute by negotiation within 30 days of a written notice. This negotiation period does not prevent either party from seeking urgent interim relief or taking action needed to preserve a limitation period or other mandatory deadline.
17.3. Failing settlement, disputes are subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia. Mandatory jurisdiction and legal protections that cannot be displaced by agreement remain unaffected. This Section governs disputes between the Customer and ContentTech LLC; it does not change Paddle's own governing-law or dispute-resolution terms.
